Important Notice: These Terms include a binding arbitration provision, a class action waiver, a jury trial waiver, limitations of liability, and indemnification obligations that affect your legal rights.
If you are purchasing a paid subscription on behalf of an organization, your organization may also be subject to Yashev’s separate Master Services Agreement and/or Order Form (if applicable). If there is a conflict, the executed enterprise documents control for the covered services and accounts.
PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING THE YASHEV SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL APPLICABLE LAWS AND REGULATIONS. IF YOU DO NOT AGREE WITH ANY PART OF THESE TERMS, YOU MUST NOT USE THE SERVICE.
Yashev LLC ("Yashev," "we," "us," or "our") provides a software-as-a-service platform (the "Service") accessible via yashev.com and related subdomains, applications, tools, APIs, and features. The Service is designed primarily for churches and faith-based organizations but may be used by other organizations where lawful.
These Terms of Service (the "Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Yashev. These Terms govern your access to and use of the Service, including any content, functionality, and services offered on or through the Service.
We may modify these Terms at any time by posting updated Terms on the Service. Unless otherwise required by Applicable Law, changes are effective upon posting. Your continued use after posting constitutes acceptance. If you do not agree to revised Terms, you must stop using the Service.
For purposes of these Terms:
The Service is provided strictly on a hosted software-as-a-service basis. Subject to these Terms, Yashev grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service during the applicable subscription term (if any) solely for your internal organizational purposes.
No Sale. The Service is not sold. Yashev retains all right, title, and interest in and to the Service, including all software, code, architecture, designs, methods, processes, interfaces, trade secrets, know-how, trademarks, and other intellectual property rights.
No Escrow; No Source Code Access. You have no right to receive, access, or request any source code, build artifacts, system architecture diagrams, internal operational documentation, or escrowed materials unless separately agreed in a signed writing.
You represent and warrant that you: (a) are at least eighteen (18) years old (or the age of majority in your jurisdiction); (b) have full legal capacity and authority to accept these Terms; and (c) if acting on behalf of a Customer, have authority to bind the Customer and its users.
Authority and Personal Liability. If you accept these Terms on behalf of a Customer and lack authority, you agree you may be personally responsible for obligations incurred under these Terms.
International Use. The Service may be accessed globally. You are solely responsible for ensuring your use is lawful in your jurisdiction and for complying with local requirements, including any data localization, privacy, employment, or communications rules.
To access certain features, you must create an account and provide accurate and complete information. You must keep information current. You are responsible for all activities under your account, whether authorized or not.
Administrative Users. Customer administrators control access permissions, user roles, and content within the Customer account. Yashev is not responsible for internal permissioning, administrator decisions, or disputes between a Customer and its users, employees, volunteers, contractors, congregants, or other third parties.
Security Responsibilities. You are solely responsible for: (a) protecting passwords, MFA devices, and recovery methods; (b) maintaining endpoint and network security; (c) promptly disabling access for departed staff/volunteers; and (d) monitoring account activity. You must notify us promptly of suspected unauthorized access.
You agree not to, and not to allow any third party to:
Monitoring and Enforcement. Yashev may monitor usage, investigate suspected violations, and enforce these Terms, including by throttling, restricting, suspending, or terminating access with or without notice where legally permitted.
The Service may enable email, SMS, phone, or other communications. You represent and warrant that you have obtained all necessary rights, notices, and consents and will comply with Applicable Law, including without limitation CAN-SPAM, TCPA, state “mini-TCPA” laws, consent requirements, opt-out obligations, and recordkeeping.
Customer Responsibility. You (not Yashev) are the sender/initiator of communications you create or send through the Service, and you are responsible for message content, timing, targeting, compliance, and consent management.
If you purchase a paid subscription, you agree to pay all fees described in your selected plan and any applicable Order Form. Fees are billed in USD unless stated otherwise.
Stripe Processing. Payment processing may be handled by Stripe and is subject to Stripe’s terms. Yashev is not a bank and does not directly store full payment card numbers. You agree that Stripe (and not Yashev) is responsible for card network requirements and PCI obligations to the extent Stripe acts as the payment processor.
No Refunds; Disputes. Except as required by Applicable Law or expressly stated in writing, fees are non-refundable and non-creditable. Chargebacks or payment disputes do not eliminate your obligation to pay fees and may result in immediate suspension.
Taxes. You are responsible for all applicable taxes, duties, and levies (excluding taxes on Yashev’s net income), including VAT/GST where applicable.
The Service may facilitate workflows related to volunteer or staff screening. Yashev does not provide legal advice, investigative services, or guarantees regarding the completeness, accuracy, or fitness of screening data.
Customer Compliance. You are solely responsible for compliance with Applicable Law relating to background checks and employment/volunteer screening, including without limitation the Fair Credit Reporting Act (FCRA), state equivalents, consent and disclosure requirements, adverse action procedures, retention rules, and anti-discrimination laws.
Reliance Disclaimer. You acknowledge that screening decisions are made by you, not Yashev, and you assume all risk arising from your reliance on Background Check Data, including false positives/negatives, outdated records, third-party reporting errors, or improper use.
If you process data relating to minors (including nursery/youth attendance, check-in/out, contact data, or medical notes), you are solely responsible for obtaining parental/guardian consents, providing required notices, complying with COPPA and similar laws, and following any applicable child safety rules and organizational policies.
No Special Category Guarantees. The Service is a general-purpose platform and is not intended to satisfy specialized regulatory frameworks unless expressly stated in writing.
The Service may allow churches and ministry leaders to record pastoral care information, including but not limited to prayer requests, ministry notes, counseling interactions, attendance observations, engagement indicators, or other ministry-related records concerning individuals.
Yashev provides the Service solely as a technology platform and does not monitor, review, validate, interpret, or assume responsibility for the content, accuracy, appropriateness, or use of pastoral care records or ministry notes entered by churches or their authorized users.
Each Customer, church, ministry organization, administrator, and authorized user is solely responsible for determining what information is appropriate to record, who may access that information, and how such information is used within their organization.
Customers are responsible for ensuring that their collection, storage, and use of pastoral care information complies with all applicable laws, regulations, and ethical obligations relating to privacy, counseling, pastoral care, communications, and recordkeeping.
Yashev does not provide legal, counseling, medical, psychological, or pastoral advice through the Service and shall not be responsible for any decisions, interventions, communications, or outcomes arising from pastoral care records, ministry notes, engagement data, or related information stored or managed within the Service.
Your Content. You retain ownership of your User Content. You grant Yashev a worldwide, royalty-free license to host, store, transmit, display, and process User Content solely as necessary to provide, maintain, secure, and improve the Service and to comply with legal obligations.
Backups. You are solely responsible for maintaining independent backups and export routines. You acknowledge that data loss can occur due to user error, third-party actions, system failures, cyber incidents, or Force Majeure Events. Yashev is not liable for data loss, corruption, or inability to restore data.
Data Deletion. Upon termination or expiration, Yashev may delete User Content after a commercially reasonable period (commonly 30 days) unless Applicable Law requires longer retention. Yashev may retain limited records for legal compliance, audit, fraud prevention, or dispute resolution.
Your use of the Service is also governed by our Privacy Policy. You acknowledge that, for many Customer accounts, the Customer acts as the “controller” (or equivalent) of User Content and Yashev acts as a “processor” (or service provider) as those terms are defined in certain privacy laws.
Customer Responsibilities. You are responsible for: (a) determining lawful bases for processing; (b) providing notices to individuals; (c) collecting consent where required; and (d) responding to individual rights requests; and (e) executing any required data processing addenda where applicable.
Cross-Border Transfers. You acknowledge that data may be processed in the United States or other locations where Yashev or its vendors operate. You are responsible for ensuring any cross-border data transfer requirements are satisfied.
Yashev uses reasonable administrative, technical, and physical safeguards designed to protect the Service. However, no system is completely secure. Yashev does not guarantee the Service will be uninterrupted, error-free, or immune from unauthorized access.
In the event of a Security Incident, Yashev will provide notifications as required by Applicable Law. You are responsible for your own incident response with respect to your devices, endpoints, and user actions, and for any breach caused by your personnel or configuration choices.
Yashev IP. The Service and all associated IP are owned by Yashev. You receive only the limited access rights granted under these Terms.
Feedback. If you provide suggestions, ideas, or feedback, you grant Yashev a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate them without restriction or compensation.
Yashev may remove content alleged to be infringing upon receipt of a compliant notice. Repeat infringers may be terminated. (If desired, designate a DMCA agent and address on a separate policy page for maximum safe-harbor posture.)
Yashev may suspend, restrict, or terminate access immediately (with or without notice where legally permitted) if we believe you have violated these Terms, created risk to the Service, engaged in abusive usage, caused security threats, failed to pay fees, or if required to do so by law.
You may terminate by ceasing use and, if applicable, canceling your subscription. Termination may result in loss of access and deletion of User Content as described above.
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YASHEV DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND NON-ERROR OPERATION.
YASHEV DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT IT WILL BE SECURE, UNINTERRUPTED, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL YASHEV OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, OR LICENSORS (COLLECTIVELY, THE “YASHEV PARTIES”) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CAP. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE YASHEV PARTIES’ TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU TO YASHEV FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
This limitation applies regardless of legal theory (contract, tort, negligence, strict liability, statute, or otherwise) and regardless of whether a remedy fails of its essential purpose.
You agree to defend, indemnify, and hold harmless the Yashev Parties from and against any and all claims, demands, actions, suits, proceedings, damages, losses, liabilities, judgments, penalties, fines, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
Yashev may assume control of the defense of any matter subject to indemnification at your expense, and you agree to cooperate.
Before initiating arbitration or any proceeding, you agree to notify Yashev in writing at legal@yashev.com and provide: (a) your name and account email; (b) the nature of the dispute; (c) the specific relief requested; and (d) a good-faith estimate of damages. The parties agree to attempt in good faith to resolve the dispute within thirty (30) days of notice. This informal process is a condition precedent to arbitration.
Except for claims that qualify for small claims court (if permitted) or claims seeking injunctive relief for intellectual property misuse, any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be Nevada, United States, unless the arbitrator determines another location is required by Applicable Law.
YOU AND YASHEV AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s claim.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO A TRIAL BY JURY.
To reduce the burden and expense of mass filings, if 25 or more substantially similar arbitration demands are filed against Yashev by the same or coordinated counsel or otherwise coordinated, the parties agree to a batching procedure in which: (a) the demands are grouped into batches of up to 25; (b) one batch proceeds first; (c) the remaining batches are stayed pending resolution of the first batch; and (d) the parties will engage in good-faith mediation after the first batch outcome to attempt global resolution. This section is intended to be enforceable to the maximum extent permitted by Applicable Law.
These Terms are governed by the laws of the State of Nevada, without regard to conflict of law rules, except where Applicable Law requires otherwise.
You represent and warrant that you are not located in, and will not use the Service from, any country subject to comprehensive sanctions or embargoes, and that you are not listed on any restricted party list maintained by the United States or other applicable authorities. You agree to comply with export control laws, sanctions laws (including OFAC), and anti-corruption laws.
Force Majeure. Yashev is not liable for delays or failures due to Force Majeure Events.
Assignment. You may not assign these Terms without our written consent. We may assign freely, including in connection with a merger, acquisition, or sale of assets.
Severability & Reformation. If any provision is unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remainder will remain in effect.
No Third-Party Beneficiaries. These Terms do not confer any third-party beneficiary rights.
No Agency / Partnership. No joint venture, partnership, employment, or agency relationship exists between you and Yashev.
No Reliance. You acknowledge that you have not relied on any statement not expressly stated in these Terms.
Notices. Notices to Yashev must be sent to legal@yashev.com. Notices to you may be provided via email or through the Service.
Survival. Provisions that by their nature should survive termination, including but not limited to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, Fees owed, and Data Deletion rights, shall survive termination.
Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Yashev regarding the Service, except to the extent superseded by a signed Master Services Agreement and Order Form for enterprise Customers.
